Company Profile

 

Eastern European Property Fund Limited is an authorised closed-ended Guernsey registered company, which was established to take advantage of opportunities in the property markets of Turkey, Bulgaria and Romania.

Investing Policy

The investment objective of the Company is to carry out an orderly realisation of the Company's portfolio of assets, distribution of the net proceeds to Shareholders and then undertake a voluntary winding-up of the Company.

Board of Directors

Martin M. Adams (Chairman)

Mr Adams has served as an independent chairman and director on the boards of over 20 closed end funds and companies, predominantly focused on emerging markets and listed on a European stock exchange. He is currently a non-executive director of Marwyn Value Investors Limited, Metage Funds Limited and National Investment and Infrastructure Fund Limited.

Mr Adams has hands-on experience of managing unquoted investments in a diverse range of countries including India, Vietnam, Brazil, China, Hungary, Poland, Italy, Portugal, Singapore and the UK. He has chaired the boards of London-listed specialist funds holding alternative investments in real estate; infrastructure; private equity; and in environmental and emissions assets in Asia, Europe and the Americas.

Prior to serving as a director of listed emerging markets funds, Mr Adams founded Vietnam Fund Management Company, raised and managed the first institutional investment fund for Vietnam and has been involved as a director, manager or sponsor of 11 investment funds and managers in Vietnam. Mr Adams started his career with the Lloyds Bank group, where he was based in Hong Kong, Portugal, the Netherlands and the UK.

Mr Adams holds an MA with Honours in Economic Science from the University of Aberdeen.

Carol P. Goodwin *

Carol has extensive experience in the finance industry and has held senior executive positions in several European and North American banks, managing businesses in London, Toronto, Montreal, Amsterdam, Nassau and Guernsey. She is currently a director of Investec Bank (Channel Islands) Limited where she was managing director between 1994-1996 and 1998-2001. In addition, Ms. Goodwin also serves as a non-executive director for a number of other financial services entities, including other investment funds. She has a strong background in corporate governance and risk management. Ms Goodwin is a Fellow of the Institute of Canadian Bankers, a Trust and Estate Practitioner, a Chartered Director and Fellow of the Institute of Directors.

Corporate Governance

 

The Company's Audit Committee is comprised of Carol P. Goodwin and Martin M. Adams.

The Audit Committee examines the effectiveness of the Group's financial reporting and internal control policies and procedures for the identification, assessment and reporting of risks.

As a Guernsey incorporated company, and as a private entity, the Company is not required to comply with the UK Corporate Governance Code published by the Financial Reporting Council. However, the Directors place a high degree of importance on ensuring that high standards of corporate governance are maintained and that the Company complies with the Finance Sector Code on Corporate Governance issued by the Guernsey Financial Services Commission ("GFSC").

The Board considers that the Company has complied with the provisions contained within the Finance Sector Code on Corporate Governance issued by the GFSC.
